Partner Program Agreement: This program is particularly aimed at consultants and resellers who wish to provide their customers with UltraHosting's unique server hosting, but is available to anyone. The following are the terms and conditions of the UltraHosting Referral Program. This program is offered conditionally based on your acceptance, without modification, of the terms, conditions and notices herein. BY FILLING OUT THIS FORM YOU ACKNOWLEDGE THAT YOU ARE ELIGIBLE FOR THIS PROGRAM AND YOUR ACCEPTANCE OF ALL THE TERMS AND CONDITIONS. 1. QUALIFYING REFERRALS a) Only those referrals which lead to a dedicated hosting, managed hosting or colocation contract with ULTRAHOSTING shall qualify for the Partner Program. b) Each referral must be a unique customer who has not been with UltraHosting in the past. If your referral opens multiple accounts with UltraHosting, it will still be considered one referral. For example; if your referral opened up 3 accounts, it is still one referral. c) Referral payments only apply to new customers on their initial order. d) Payments/credit notices will be made/issued on the condition that the referred prospect signs a contract with ULTRAHOSTING with a minimum contract term of 1 month however continues uninterrupted fully paid up service for 2 full months. e) Referral agents cannot refer themselves. f) If a customer orders additional servers and services subsequent to their initial order these add on servers and services do not qualify for a referral payment. 2. REFERRAL PAYMENTS AND POLICIES a) UltraHosting referral commissions are based on a Dedicated Hosting customer's "Adjusted Monthly Recurring Cost" (AMRC) which is calculated by taking the customer's Monthly Recurring Cost and subtracting the following fees: licensing fees, setup fees, consulting fees, and excess bandwidth fees. b) The referral fee payment will be made 60 days after the referred client is activated and the initial invoice has been paid to UltraHosting. c) UltraHosting reserves the right to modify or discontinue this program at any time without notice. 3. OTHER a) The customer must remain a customer of UltraHosting for at least two whole months before the One-Time Commission is paid. b) If a customer, subsequent to initial order, requests additional servers, no additional referral commission will be paid. The bonus program only applies to new customers at the facility on their initial order. c) You can not get referral credits for partner hosting accounts and can not get the hosting partner discount for referred customers. d) In the event of dispute, UltraHosting's decision shall be final. e) UltraHosting may modify or discontinue this program at any time. f) Payments to partners are made only after receipt of funds from referral customer are processed and accepted by UltraHosting. Should payment from referral customer be in default for the term referenced in part 1(d), then referral commissions will be reversed.
